Effective Date: [Insert Effective Date]. Welcome to the LaChance Vineyards website (the “Site”). These Terms and Conditions (“Terms”) govern your access to and use of the Site and all services offered by LaChance Vineyards (“we,” “us,” or “our”), including wine club membership, online wine sales, in-person tastings and restaurant services, event bookings, and other services. By accessing the Site or using our services, you agree to be legally bound by these Terms. If you do not agree, please do not use the Site or our services. We may update these Terms from time to time by posting the revised Terms on the Site. Your continued use of the Site after any such changes constitutes your acceptance of the new Terms.
1. Eligibility
You must be of legal age to form a binding contract (usually 18 years old) and at least 21 years old to purchase or consume alcohol on our premises or via the Site. By using the Site, you represent and warrant that you meet these age requirements and are not prohibited by law from purchasing alcohol. We reserve the right to verify your age by requiring valid government-issued identification at delivery or entry, and we will refuse service or shipment if age verification fails.
2. Wine Club Membership Terms
LaChance Vineyards offers a wine club with recurring monthly or quarterly wine shipments. By signing up, you authorize us to charge your payment method automatically for each scheduled shipment or pickup. We will notify you of any changes in wine, price, or ship date in advance of billing. Billing and Cancellation: Membership fees and shipping charges will be billed automatically to your credit card on file prior to each shipment or pickup. Your membership continues indefinitely until cancelled. To cancel, you must notify us in writing or by email at least thirty (30) days before your next scheduled shipment or pickup. Cancellations must be sent to wineclub@lachancevineyards.com or by certified mail to our address below. Failure to cancel in a timely manner will result in the next charge being processed. Membership Commitments: Wine club memberships typically require a minimum commitment (for example, three shipments), as disclosed at signup. Wine club benefits (such as discounts and event invitations) apply only to active members in good standing. We may change club wines, benefits, pricing, or billing date with prior notice to members.
3. Event Booking Terms
We offer venue rental for weddings, corporate and private events. Booking and Deposits: A non-refundable deposit (as specified in your event contract) is required to reserve the date. The deposit amount and due dates for payment will be set forth in the event agreement. Cancellation: If you cancel an event, deposits are generally non-refundable. Cancellations or changes made less than [X] days before the event (as specified in your contract) may incur forfeiture of deposit or additional charges. Full payment of any remaining balance is required by the due date specified. Guest Conduct: The client is responsible for the conduct of all guests. Smoking and outside alcohol are prohibited on the premises. We reserve the right to end any event for illegal activity or disruptive behavior. Insurance and Liability: Clients may be required to obtain liability insurance as a condition of booking. We are not responsible for personal property or decorations brought to events.
4. Restaurant and Tasting Room Use
Reservations for tastings or dining can be made online (e.g. via OpenTable) or by phone at (636) 586‑2777. All reservations are subject to availability. Reservation Policy: We may require a credit or debit card to hold your reservation. You agree to provide a valid card when requested. Please cancel any reservation at least 30 minutes in advance to avoid fees. We follow the restaurant’s cancellation policy as disclosed at booking. No-shows or late cancellations may be charged a fee in accordance with that policy. Guest Behavior: Guests must be courteous and comply with our staff’s instructions. We reserve the right to refuse or terminate service to anyone engaging in unlawful or disruptive behavior. Guests Under 21: Minors are welcome at our family-friendly winery but must be supervised at all times. Individuals under 21 will not be served alcoholic beverages. Outside Food and Beverages: No outside alcoholic beverages or other drinks are allowed on the premises. (At our DeSoto location, outside non‑alcoholic food is permitted, but we reserve the right to inspect belongings.) If you bring prohibited items, we may confiscate them and refuse service.
5. Online Ordering and Shipping
Our Site allows purchases of wine and gift items. Legal Restrictions: All online wine sales are limited to consumers 21 or older. By ordering, you represent that you meet these age requirements. We comply with all applicable state and federal laws for alcohol shipping. Shipments require an adult (21+) signature at delivery, and carriers will verify age and identification. Missouri law requires wine shipments to be labeled “CONTAINS ALCOHOL: SIGNATURE OF PERSON AGE 21 OR OLDER REQUIRED”. We ship only to states that permit direct-to-consumer wine delivery. If your state prohibits wine shipments, we cannot accept your order. Shipping Charges: Shipping costs and any applicable taxes are added to your order. Title and risk of loss for products pass to you upon delivery. You must inspect deliveries immediately and notify us of any shipping damage or shortage within 48 hours. Unless otherwise required by law, all wine sales are final. We do not accept returns of wine for refund or exchange, except in the case of damage or an incorrect order, which we will remedy at our discretion.

7. User Accounts
To make purchases or book events, you may need to create a user account. You agree to provide accurate, current, and complete information. You are responsible for safeguarding your account credentials and for all activity under your account. You must promptly notify us if you suspect any unauthorized use of your account. You may not share your password or let others use your account. We reserve the right to suspend or terminate accounts that engage in fraudulent or abusive behavior.
8. Payment and Billing
We accept payment via major credit cards (Visa, MasterCard, Discover, American Express) and other methods as indicated on the Site. All prices are listed in U.S. dollars and do not include sales tax or shipping unless stated. Taxes and Fees: You are responsible for applicable taxes, duties, and shipping charges. We will collect and remit sales tax on orders shipped to Missouri addresses as required by law.
- Automatic Billing: Wine club and event contracts involve recurring or scheduled payments as agreed upon signup. If a charge is declined, we may suspend your membership or cancel the order.
- Refunds: Unless required by law, refunds for wine and wine club purchases are not provided. Refunds for events or dining may be offered only at our discretion and subject to our cancellation policies.
- Payment Disputes: If you dispute a charge with your bank or credit card company without first contacting us, you may incur fees and we reserve the right to suspend services pending resolution.

TO THE FULLEST EXTENT PERMITTED BY LAW, LACHANCE VINEYARDS, ITS OWNERS, AND AGENTS SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES WHATSOEVER, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SITE, PURCHASE OF PRODUCTS, OR ANY SERVICES PROVIDED, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. You agree that our total liability in any claim arising from or relating to these Terms or the Site shall not exceed the amount paid by you to us for the applicable goods or services. This limitation applies regardless of the form of action, whether in contract, tort, strict liability, or otherwise.
11. Indemnification
You agree to defend, indemnify, and hold harmless LaChance Vineyards, its owners, officers, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses (including attorneys’ fees) arising from or related to (a) your breach of these Terms, (b) your use of the Site or our services, or (c) your violation of any law or the rights of any third party. We reserve the right to control the defense and settlement of any such claim at our expense.
12. Dispute Resolution
Arbitration: Any dispute, claim, or controversy arising out of or relating to these Terms, the Site, or your purchase of goods or services shall be resolved by binding arbitration under the Federal Arbitration Act. The arbitration will be conducted by a single arbitrator in Jefferson County, Missouri (or another agreed location), following the rules of the American Arbitration Association (AAA) or similar arbitral body. The arbitrator’s award shall be final and binding, and judgment may be entered in any court having jurisdiction. Class Action Waiver: You and LaChance Vineyards mutually waive any right to a trial by jury and any right to participate in a class action or collective action against the other. All claims must be brought on an individual basis. If a court finds the class action waiver unenforceable, then the arbitration provision will also be unenforceable with respect to the claims affected. Exceptions: Notwithstanding the above, either party may seek small claims relief in a court of competent jurisdiction for disputes under the monetary jurisdictional limit for small claims.
